A contractual right given to some shareholders (usually financial investors who have a minority stake) to override decisions taken by the majority (in shareholders’ meetings) or company management (in board meetings) is called a ‘veto’. A list of ‘reserved matters’ is usually agreed in writing, in which consent of minority shareholders is essential and in such matters, they can exercise their veto rights.
