A company’s articles of association are a comprehensive set of rules and regulations that govern its management and regulate the relationship between its shareholders.

Provisions of agreements which define rights and obligations of shareholders (founders, investors, etc.) must be incorporated in the articles for them to be valid and enforceable.

A company’s articles of association need to be filed with the Registrar of Companies (under the Ministry of Corporate Affairs) at the time of its incorporation.

A company may modify its articles through a special resolution passed in a shareholders’ meeting.
